The following terms will be applied to Carbon Offsets Purchased by you (Buyer) with the North American Carbon Exchange (Seller).
Whereas, for good consideration the parties mutually agree that:
1. Seller agrees to sell, and Buyer agrees to buy listed Carbon Offsets from new growth trees on properties listed by the Seller.
2. Buyer agrees to pay to Seller and Seller agrees to accept as total purchase price the quote furnished at the time of listing, payable via electronic funds via PayPal or Google Shopping Cart.
3. Seller warrants it has good and legal title to said property and trees there in, full authority to sell said trees, and that said trees shall be sold by warranty bill of sale free and clear of all liens, encumbrances, liabilities and adverse claims of every nature and description whatsoever.
4. The Buyer agrees that their interest in said trees is for ecological reasons, and thus solely interested in the preservation of said trees of the Buyers property for a term not less than 30 years. Should these trees be lost through fault or no fault of the Seller, the Seller agrees to replace said trees, or refund the Buyer at the sales price plus 50% or the current market price whichever is greater.
5. The parties agree to transfer title to the list trees on the date selected by the Buyer. No later than 30 days after they are listed with NoCarbEx.
6. The Buyer has the intention to re-sell title of the trees to companies or organizations that wish to purchase carbon credits. NoCarbEx may be retained to service this contract for the life of the tree.
7. This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives.
This contract will be put into effect for any trees you list with the North American Carbon Exchange. When the North American Carbon Exchange purchases your trees, a PDF of this agreement will be sent to you for trees purchased.
